Business and Advertising Terms

These terms apply to you if you open a business account or buy, run or request advertising on Poplex. They are part of your agreement with Poplex and add to the Terms of Service.

1. Who these terms are for, and how they fit with the others

These Business and Advertising Terms (the “Business Terms”) are an agreement between you, if you are a business, organization or individual who opens a business account or buys, runs or requests advertising, and TC Holding, LLC (“Poplex”, “we”). They add to our Terms of Service, Privacy Policy and Community Guidelines, which also apply to you. If these Business Terms and the Terms of Service conflict about business accounts or advertising, these Business Terms control. If you accept them for an organization, you confirm that you are authorized to bind it.

2. Business accounts

  • A business account is for an adult or an organization that sells, grades, services or promotes trading cards or related goods. A person under 18 cannot open one.
  • A business account is always public, with its category and website shown on its profile in the app and on the web. Poplex reviews each business account before it opens advertising tools, may ask for more information, and may decline, pause or remove a business account at its discretion.
  • The verified star is a separate matter. A business is verified only if it asks and meets the conditions in the Terms of Service; a business account does not by itself carry the star.
  • You are responsible for everything done through your account and for everyone you let use it. Keep your information accurate, including your website.

3. How advertising works on Poplex

  • Sponsored posts. Advertising on Poplex is a sponsored post made from your post, always labelled “Sponsored”. You can ask for one from the app or from the business dashboard on this website. Poplex reviews every request and decides what runs and when. Nothing runs until Poplex has approved and scheduled it, and we can decline, change, pause or stop an ad at any time.
  • Who sees an ad. An ad is shown to signed-in collectors, among their posts. It can be aimed at kinds of post and at sets. A collector whose age we do not know sees no ads, and a collector under 18 sees only ads that Poplex has marked as suitable for teens, chosen only from what is on their screen. Poplex marks an ad suitable for teens only if it chooses to, and an ad is for adults unless it is marked.
  • Frequency. Poplex limits how often one collector is shown the same ad: on at most 3 days in any 7, and in a single pass of the feed at most once.
  • Counting. A view is counted when at least 60% of the ad has been on a collector’s screen for one second, at most once for each collector and ad each day. A tap is counted once a day for each collector. Your own account, and signed-out visits, are not counted. Counts are updated through the day, can be corrected, and are the only measurement of an ad that Poplex provides.
  • Reports. Your dashboard shows, for each ad, reach (different collectors), views and taps, in total and by day, and lets you download them. These are counts of events. They never include a collector’s name, handle, email, Collection or anything that identifies them.
  • No guarantee. Poplex does not promise that an ad will be shown to any number of collectors, at any time, in any position or next to any content, or that it will produce taps, visits, followers or sales. Poplex does not control the posts around an ad.
  • Links. When a collector taps your ad, Poplex opens your link and adds three tags to the address (utm_source=poplex, utm_medium=ad and a utm_campaign that names the ad), unless your link already has tags of its own. The tags name the ad and never the collector. Poplex cannot see what people do or buy on your website.

4. Rules for your ads and your landing pages

Your ad, your account and the page or app it leads to must follow the law and the Community Guidelines, and must be truthful. In particular:

  • Do not advertise anything illegal, counterfeit, stolen or fraudulently altered, and do not make claims you cannot support about a card’s authenticity, condition, grade, rarity, price or availability.
  • Do not mislead people about who you are, what you sell or what it costs. Follow the rules on advertising disclosures, endorsements and reviews that apply to you, and any rules on promotions, sweepstakes and contests.
  • Do not use a sponsored post to collect payment details, passwords or sensitive personal information, and do not send collectors to a page that does.
  • Do not try to identify, track or profile collectors who see or tap your ad, or to link counts or visits to a person, and do not combine Poplex’s counts with other data for that purpose.
  • Never suitable for teens. Poplex will not mark as suitable for teens, whatever the business, an ad for or about: mystery boxes, random-pull products or breaks; gambling, betting or sweepstakes; alcohol, tobacco, vaping or cannabis; adult content; weight loss; dating; loans or credit; or cryptocurrency. Poplex may add to this list.
  • Poplex may refuse any ad or category, and we are not required to give a reason. We tell you when we decline a business account, and why, and you may ask us to look again.

5. What you give us, and the licence

You keep ownership of your posts, photographs, captions and links. You give Poplex a worldwide, non-exclusive, royalty-free licence to copy, resize, crop to fit, re-encode, store, display and run them as an ad in the app and on the website, and in previews of the ad, for as long as the ad runs and a reasonable time afterwards for records. For an ad, Poplex copies your photograph to a public address so that it can be shown; we remove the copy when we stop using it where we reasonably can. You confirm that you own the material or have the right to give us this licence, that it does not infringe anyone’s rights, and that anyone who can be recognized in it has agreed.

6. Ad credit, prices and payment

  • Credit. Advertising is paid for with ad credit, in United States dollars. Credit is bought outside the app, on our website or by invoice, never through Apple’s in-app purchase, and is recorded in a ledger that shows each purchase, each charge for an ad and each refund or adjustment. A balance is the total of that ledger. Poplex charges the price of an ad against your credit when Poplex schedules it, and does not schedule an ad that your credit does not cover.
  • Prices. The price of an ad is the price Poplex gives you when it schedules the ad.
  • Payment. You pay each invoice or order in full when due, by the method we accept. You are responsible for any fees your bank or payment provider charges. We may refuse or reverse a purchase we believe is fraudulent or unauthorized.
  • Taxes. Prices do not include taxes. You are responsible for taxes that apply to your purchase, except taxes on our income, and we may add any tax we are required to collect.
  • Refunds. If Poplex cancels an ad before it runs, or you cancel before it starts, the charge for that ad is returned to your credit. Credit that has been spent on an ad that ran is not refunded. Unused credit does not expire while your business account is open. We may refund unused credit at our discretion, and we will where section 9 or the law requires it.
  • No transfer. Credit is tied to your account, has no cash value except as stated here, and cannot be sold, lent or transferred.

7. Your promises, and ours

You promise that you have the right to enter these Business Terms; that everything you give us and your ads, accounts and landing pages are accurate, lawful and your own or properly licensed; and that you will follow the law that applies to you and to what you advertise. You will indemnify and hold harmless TC Holding, LLC, its members and its personnel from claims, losses and expenses, including reasonable legal fees, that arise from your ads, your content, your products or services, your landing pages, your breach of these Business Terms or the Terms of Service, or your violation of any law or third-party right.

Poplex provides advertising “as is”. To the fullest extent the law allows, we exclude all warranties not stated here and are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, sales or goodwill. Our total liability under these Business Terms is limited to the amount you actually paid Poplex for advertising in the 12 months before the claim. None of this limits liability that cannot be limited by law.

8. Information and privacy

Poplex gives you counts and not personal information about collectors, as sections 3 and 4 describe. Each of us is responsible for our own handling of any information we receive from the other or from collectors, and Poplex is not your processor. If your website or app collects information from the collectors who reach it, that is yours to explain and protect under your own privacy policy and the law. Information about you and your business account is handled as the Privacy Policy describes.

9. Ending, changing, and disputes

  • You may stop advertising and close your business account at any time. Poplex may pause or end your access to advertising, or your account, at any time, including for breaking these terms. If we end your access without a reason related to your conduct, we will refund the unspent part of your credit, if any.
  • We may change these Business Terms and our prices. We give you at least 30 days’ notice, by email or in the dashboard, of a change that reduces your rights or raises the price of an ad you have already scheduled, and a change takes effect for a scheduled ad only if you accept it or the ad has not yet started.
  • These Business Terms, with the documents they refer to, are the entire agreement about business accounts and advertising. If part is unenforceable, the rest stands. You may not assign them without our written consent.
  • These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules, and you and TC Holding, LLC agree to the exclusive jurisdiction of the state and federal courts located in the State of New York.
